Welcome to CareQuarterback (“CareQuarterback,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the CareQuarterback website and related services (the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. What CareQuarterback Is (and Is Not)

CareQuarterback is a marketplace and care-coordination platform that connects individuals, families, care managers, professionals, and agencies.

CareQuarterback does not provide medical advice, diagnosis, or treatment. All information provided through the Platform is for care coordination and informational purposes only and should not be considered medical or clinical advice.

You should always seek the advice of qualified healthcare professionals regarding medical conditions or care decisions.

2. Marketplace Disclaimer (Third-Party Services)

CareQuarterback does not employ, supervise, or control care managers, professionals, or agencies listed on the Platform.

  • All services are provided by independent third parties
  • CareQuarterback is not a party to any agreement between users and care professionals
  • We do not guarantee outcomes, quality of care, availability, or suitability
  • You are solely responsible for evaluating and selecting any third-party provider

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years old
  • Have the authority to enter into these Terms
  • Use the Platform in compliance with applicable laws

Accounts may be created by:

  • Care managers and professionals
  • Agencies and organizations

4. Accounts and Registration

You agree to:

  • Provide accurate, complete information
  • Maintain the security of your account credentials
  • Be responsible for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions, Payments, and Billing

CareQuarterback offers subscription-based services.

  • Payments are processed through Stripe, a third-party payment processor
  • By subscribing, you agree to Stripe's terms and policies
  • Subscription fees, billing cycles, and features may change with notice
  • All fees are non-refundable unless required by law

CareQuarterback does not store your full payment card information.

6. User Content and Documents

Users may upload or submit content, including:

  • Profiles
  • Messages
  • Reviews
  • Documents and notes

You retain ownership of your content but grant CareQuarterback a non-exclusive, worldwide, royalty-free license to host, display, and use such content solely to operate and improve the Platform.

You are responsible for ensuring you have the right to share any content uploaded.

7. Prohibited Conduct

You agree not to:

  • Misrepresent credentials or qualifications
  • Violate privacy or confidentiality laws
  • Upload unlawful, misleading, or harmful content
  • Attempt to bypass security or platform safeguards
  • Use the Platform for illegal or unethical purposes

8. Account Suspension and Termination

CareQuarterback may, at its sole discretion:

  • Suspend or terminate accounts
  • Remove content
  • Restrict access to the Platform

This may occur with or without notice, particularly in cases involving misuse, legal risk, or harm to others.

9. Privacy

CareQuarterback collects personal information including:

  • Email address
  • User ID
  • Name
  • Home address
  • Education

Use of the Platform is also governed by our Privacy Policy, which is incorporated by reference.

10. Intellectual Property

All Platform content, branding, software, and design are owned by CareQuarterback or its licensors and protected by intellectual property laws.

You may not copy, modify, distribute, or reverse engineer any part of the Platform without written permission.

11. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

We make no warranties regarding:

  • Accuracy or completeness of information
  • Availability or uptime
  • Quality of third-party services
  • Fitness for a particular purpose

12. Limitation of Liability

To the maximum extent permitted by law:

  • CareQuarterback's total liability for any claim arising out of or related to the Platform shall not exceed the total amount you paid to CareQuarterback during the six (6) months preceding the claim.
  • We are not liable for indirect, incidental, consequential, or punitive damages.

13. Indemnification

You agree to indemnify and hold harmless CareQuarterback from any claims, damages, or liabilities arising from:

  • Your use of the Platform
  • Your interactions with third-party providers
  • Your violation of these Terms or applicable laws

14. Arbitration and Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration in Illinois, except where prohibited by law.

You waive the right to participate in class actions.

15. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
